Richfield Financial Services Ltd has issued a corrigendum to its EGM notice (original dated Nov 6, 2025; EGM held Dec 3, 2025) after BSE flagged observations while granting in-principle approval for a proposed preferential issue. The company has revised the preferential issue size downward from 40,00,000 equity shares (₹10 crore) to 34,42,000 equity shares (₹8.60 crore). 27 proposed allottees have been removed from the list, reducing the total number of allottees from 139 to 112. Existing shareholders face less equity dilution than originally proposed, as the preferential issue size has been trimmed by about 14% in value terms. The smaller issue size means a lower capital raise (₹8.60 crore vs ₹10 crore) and reduced dilution, but the company is still expanding its equity base with a large number of small-ticket allottees, which could affect liquidity and free-float dynamics going forward.
