RIR Power Electronics Ltd submitted its Annual Secretarial Compliance Report for FY 2025-26, reviewed by Neetu Agrawal & Co., Practicing Company Secretary. The report identified three non-compliances with SEBI regulations: (1) Regulation 17(1) - failure to maintain proper composition of Independent Directors on the Board, fined Rs. 50,000 plus GST; (2) Regulation 18(1) - non-compliance with audit committee constitution, fined Rs. 20,600 plus GST; (3) Regulation 19(1)/(2) - non-compliance with nomination and remuneration committee constitution, fined Rs. 72,000 plus GST. All fines have been paid and the company has since complied with the regulations. Other areas including secretarial standards, website disclosures, RPTs, insider trading norms, and preservation of documents were found satisfactory.
The company had governance-related regulatory lapses around board and committee composition, paying total fines of approximately Rs. 1.43 lakh plus GST. While the company has since complied, these findings indicate weaker governance practices that investors should monitor going forward.
