Rishabh Instruments Limited has submitted the scrutinizer's report for its 42nd AGM held on July 30, 2025 via video conferencing. Eight resolutions were put to vote through remote e-voting (July 27-29) and e-voting at the meeting. All resolutions passed with the required majority, including the adoption of audited standalone and consolidated financial statements for FY ending March 31, 2025 (89.68% in favour), appointment of M/s. KANJ & Co. LLP as secretarial auditors for five years (89.68% in favour), and the appointment of two new independent directors — Mr. Rajendra Bagwe and Mr. V. Subramaniam — both of whom received 99.999% support. The amendment to ESOP Plan 2022 Scheme A saw the strongest opposition at 14.54% against. Mr. P.K. Ramakrishnan retired by rotation and the resulting vacancy will not be filled, while Mr. Dinesh Kumar Musalekar was re-appointed as Whole-Time Director.
All eight resolutions were approved by shareholders, so there is no negative governance outcome from this AGM. However, the relatively higher dissent on the ESOP amendment (14.54% against) and the financial statements (10.32% against) is worth tracking, as recurring shareholder pushback on compensation-related proposals can affect management credibility over time.
