Ritco Logistics shareholders approved a special resolution through postal ballot (remote e-voting) to amend the company's Employee Stock Option Plan (ESOP). The resolution empowers the Compensation Committee to decide, vary, and modify the vesting period of stock options, removing any maximum vesting cap while keeping the SEBI-mandated minimum of one year. Voting closed on 17th March 2026 with near-unanimous support: 1,89,00,866 votes (99.99995%) in favor and just 9 votes against, out of 1,89,00,875 shares polled. Out of 10,877 total shareholders as on the cut-off date, a significant portion participated in the e-voting. The Committee can now also revise vesting schedules of already-granted unvested options, provided the change is not detrimental to employee interests and complies with applicable law.
This gives the company more flexibility to design ESOP grants and retain talent by tailoring vesting schedules, but it also broadens the Compensation Committee's discretion over timelines of existing options. For shareholders, it is largely a routine governance update with no direct material impact on earnings or stock price expected.
