RMC Switchgears Ltd has disclosed an inter-se transfer of shares within its promoter group under Regulation 10(5) of SEBI (SAST) Regulations, 2011. Ankit Agrawal will acquire 8,45,700 shares (8.02% of total share capital) from Vitthal Das Agarwal HUF (7,50,900 shares, 7.12%) and Vitthal Das Agarwal (94,800 shares, 0.90%) by way of an off-market gift/distribution deed. Ankit Agrawal's individual stake in the company will rise from 9.71% (10,24,445 shares) to 17.76% (18,70,145 shares). The aggregate promoter and promoter group holding remains unchanged before and after this transaction. This transfer is exempt from the open offer requirement under Regulation 10(1)(a)(ii) as it is among immediate relatives within the promoter family.
