RMC Switchgears Limited conducted a Postal Ballot (last date of e-voting: December 14, 2025) covering three resolutions, all of which were passed with overwhelming majority. The first was a Special Resolution authorizing the Board under Section 186 of the Companies Act to give loans, guarantees, or invest up to an aggregate of Rs. 800 Crores, which received 99.40% support. The second Special Resolution, for granting loans and guarantees to subsidiary companies under Section 185, was approved with 99.36% votes in favour. The third, an Ordinary Resolution for approval of material Related Party Transactions with subsidiaries, passed with 99.58% support. Voting was conducted via remote e-voting through CDSL and scrutinized by Manoj Maheshwari of V.M. & Associates. On the record date (November 7, 2025), there were 4,660 shareholders holding a total of 1,05,51,800 equity shares. Only 18 shareholders participated, casting 3,31,250 votes representing just 3.14% of outstanding shares.
The company has now secured shareholder approval to deploy up to Rs. 800 Crores across investments, loans, and guarantees, and to enter into material related-party transactions with subsidiaries - giving the board significant operational flexibility. However, voter turnout was extremely thin (3.14% of capital) because the promoter group, holding 52% of shares, abstained from all three resolutions (they were deemed interested in Resolutions 2 and 3). This means the resolutions technically passed but rest on a very narrow base of retail/institutional participation, which is a point investors should note.
