Rotographics (India) Limited held its EGM on 21st June 2025 via video conferencing, where shareholders approved two special resolutions. Resolution 1 ratifies the earlier approval (from EGM held on 8th February 2025) for preferential allotment of up to 95,50,000 equity shares to proposed promoter and non-promoter entities. Both resolutions were passed comfortably with over 99.8% approval, signalling strong shareholder support for the preferential allotment to promoters/non-promoters and the MOA object clause change. Promoters are interested parties in the preferential allotment, which will dilute existing public shareholders. The MOA alteration indicates the company may be planning to expand or shift its business activities.
