Rotographics (India) Ltd held an Extra-Ordinary General Meeting (EGM) on 21st June 2025 via video conferencing. Two resolutions were put to vote through remote e-voting (18–20 June 2025) and e-voting during the meeting. Resolution 1 (Ordinary) sought ratification of a previously approved preferential allotment of up to 95,50,000 equity shares to proposed promoter and non-promoter groups, originally cleared in an EGM on 8 February 2025. Resolution 2 (Special) sought alteration of the Object Clause of the company's Memorandum of Association. Out of 143 voters casting 75,226 votes, both resolutions passed with overwhelming support: 75,137 votes (99.88%) in favour and only 89 votes (0.12%) against each, with no invalid votes. The scrutinizer, Mr. Vivek Kumar (Practicing Company Secretary), confirmed the voting was fair and transparent.
Shareholders have effectively approved a potential dilution of up to 95.5 lakh equity shares via preferential allotment to promoter and non-promoter groups, which could increase share supply and affect per-share value. Additionally, the alteration of the MOA's object clause signals a planned shift or expansion in the company's business activities, which may open new revenue streams but also carries execution risk.
