Royal Cushion Vinyl Products Limited held an Extra Ordinary General Meeting (EGM) on 28th April 2025 via video conferencing, where shareholders approved both resolutions placed before them. The first resolution (Ordinary) approved an increase in the company's authorised equity share capital and amendment to the capital clause of the Memorandum of Association. The second resolution (Special) approved the issuance of equity shares to private investors through a preferential allotment. Of the 4,869 shareholders on record, 31 attended via video conferencing. Out of 3,65,88,462 total shares, 1,83,15,969 shares (50.06%) were polled, with nearly 100% voting in favour of both resolutions and only 23 votes against. Both resolutions were declared passed with the requisite majority by the scrutinizer, Mrs. Padma Loya of M/s. Loya and Shariff.
Existing shareholders should expect equity dilution as new shares will be issued to private investors under the preferential issue. The authorised capital increase is a prerequisite that gives the company room to allot these new shares and possibly raise further capital in the future. Short-term stock price may react to the dilution, but the move could strengthen the company's balance sheet if the fresh capital is deployed productively.
