RSWM Limited has received an arbitration award dated April 1, 2026 from an Arbitral Tribunal involving two disputes with LNJ Power Ventures Limited. First, in the Power Purchase Agreement (PPA) matter, the Tribunal has awarded Rs. 17.68 crore (plus 15% interest) for withheld electricity charges payable by the Company. Since this liability was already provided for in the books of accounts, it will not impact profitability. Second, regarding interest on Compulsory Convertible Debentures (CCDs), the Tribunal ruled that interest is NOT payable by LNJ Power Ventures to RSWM until certain conditions precedent are satisfied. The outstanding interest receivable on CCDs is estimated at around Rs. 29 crore as of March 31, 2026. The Company is currently evaluating the awards and exploring appropriate legal options.
The PPA award is neutral since it was already provisioned. However, the denial of Rs. 29 crore CCD interest is a negative development as it represents foregone expected income, and the Company's decision to explore legal options signals ongoing dispute risk with potential further financial implications.
