Rubicon Research has signed definitive agreements to acquire 85% of Arinna Lifesciences Limited, making it a subsidiary of the company. Arinna is an Ahmedabad-based branded pharmaceutical marketing firm focused on the CNS/neuro-psychiatric segment, with antiepileptics, antidepressants, and antipsychotics in its portfolio. Arinna reported revenues of ₹71.5 crores in FY25, up from ₹65.1 crores in FY24 and ₹60.1 crores in FY23, showing steady growth. The total enterprise value of Arinna is ₹200 crores, with the purchase consideration for 85% stake set at approximately ₹175.92 crores in cash, at around ₹158.53 per share. The deal is expected to close within one month and requires no regulatory approvals or related party clearances.
This acquisition gives Rubicon immediate access to Arinna's India-wide sales and distribution network, strengthening its presence in the CNS segment that it considers a core focus area. The all-cash deal worth ~₹176 crores is sizeable relative to Rubicon's scale and could lead to short-term pressure on cash or debt, but it should boost future revenues and product reach once integrated.
