Rubicon Research Limited has announced the results of its Postal Ballot conducted via remote e-voting between 14th February and 15th March 2026. Two resolutions were put to shareholders: (1) a Special Resolution to appoint Dr. Pradnya Saravade (DIN: 08472973) as an Independent Woman Director, which was passed with 100% votes in favour (12,51,21,010 votes for vs. just 31 against); and (2) an Ordinary Resolution to appoint M/s. BNP & Associates as Secretarial Auditors, passed with 98.34% votes in favour (12,30,45,924 for vs. 20,75,117 against). Overall, 75.95% of total equity shares (12,51,21,041 out of 16,47,50,309) participated in the voting from 30,072 eligible members. The Scrutinizer (SGGS & Associates / Legalixir) confirmed both resolutions were passed with the requisite majority.
Both governance-related appointments are now formally approved, strengthening the company's board composition and audit oversight. With overwhelming shareholder support on the director appointment and near-unanimous backing for the auditors, this is a routine compliance outcome with no material impact on the stock price.
