Rudra Ecovation Ltd has informed BSE that 26,87,000 convertible warrants out of the 2,07,65,000 warrants allotted on a preferential basis in July 2024 were not converted into equity shares within the 18-month deadline of January 10, 2026. The unconverted warrants belong to two allottees — Dinesh Pareekh (non-promoter, 9,67,000 warrants) and Shiva Spinfab Private Limited (promoter group, 17,20,000 warrants). Warrants were issued at Rs. 48 each, with 25% upfront subscription already paid. As per SEBI rules, the 25% amount (~Rs. 3.22 crore) received on these unconverted warrants stands forfeited to the company.
The forfeiture is a small positive for the company as it retains the upfront subscription money (~Rs. 3.22 crore) without issuing new shares. However, the fact that a promoter group entity (Shiva Spinfab) failed to convert its warrants may be viewed as a mild negative signal by investors regarding promoter confidence. Overall share dilution reduces marginally.
