Promoters Kush Sureshbhai Patel and Kashyap Sureshbhai Patel have pledged an additional 8.80 lakh equity shares (4.40 lakh each) with Truepay Finance Pvt Ltd (an NBFC) on June 5, 2026 to secure a loan of Rs. 3 crore. The borrowed money is intended to be used by the listed company for acquiring shares of another company in a similar business vertical. After this new pledge, total encumbered promoter shares stand at 29.14 lakh, which is 47.75% of promoter holding (73.41%) or 34.95% of total share capital. A prior pledge of 20.34 lakh shares (24.40%) with Shree Kamdhenu Financial Services from March 2026 already exists, bringing cumulative encumbrance to over one-third of the company's equity.
Encumbrance on promoter shares has risen meaningfully but stays just below the 50% of promoter holding threshold, so no regulatory restriction kicks in. Shareholders should note higher financial leverage at the promoter level and that any sharp fall in the stock price could increase the risk of margin calls or invocation. The borrowed funds are being deployed towards an acquisition, which could be a positive if executed well, but adds execution risk.
