Rudra Global Infra Products has filed its 15th Annual Report for FY 2024-25 with BSE and notified the 15th AGM to be held on September 29, 2025. Standalone revenue was broadly flat at around Rs 56,127.56 lakh versus Rs 55,703.62 lakh in the previous year, a marginal growth of 0.76%. Net profit after tax fell sharply to about Rs 1,138.80 lakh from Rs 2,077.22 lakh, a drop of roughly 45%, which the company blames on higher finance costs and weak market conditions. The company is pushing ahead with a full shift to renewable energy, having executed agreements for a solar and wind farm to move from 10% to 100% renewable sourcing. Shareholders will also vote on large related-party transactions with Rudra Green Ship Recycling (up to Rs 45,000 lakh combined) and YSR Building Solutions (up to Rs 12,500 lakh combined), the re-appointment of an Independent Director, and the appointment of a new Secretarial Auditor for a five-year term.
The filing is a routine compliance submission, but the sharp fall in profits despite stable revenue signals margin pressure and higher debt servicing costs that shareholders should watch. The sizeable related-party transaction limits being sought at the AGM will need shareholder approval and warrant close scrutiny for arm's-length pricing.
