Rupa & Company, a hosiery and innerwear maker, reported its unaudited Q3 FY26 (quarter ended Dec 31, 2025) and nine-month FY26 results. Standalone revenue from operations for Q3 came in at ₹31,359.67 lakhs, almost flat year-on-year (₹31,428.07 lakhs), while net profit fell about 32% to ₹1,610.39 lakhs from ₹2,364.53 lakhs. For the nine months, standalone net profit dropped to ₹3,587.32 lakhs from ₹5,220.07 lakhs, a decline of roughly 31%, weighed down by exceptional items totalling ₹267.10 lakhs. The exceptional charge in Q3 was ₹110.10 lakhs linked to the implementation of the new Labour Codes, and ₹157 lakhs was booked in Q1 FY26 for a settlement with a creditor of a former licensed brand. The company also redeemed ₹50 crore worth of commercial paper in December 2025. Separately, Company Secretary & Compliance Officer Sumit Jaiswal resigned to pursue an external opportunity, effective end of Feb 28, 2026, and a revised list of KMPs was authorized under Regulation 30(5) for materiality and disclosure purposes.
Profitability has weakened sharply despite steady top-line, with the nine-month net profit down about a third year-on-year, partly explained by the exceptional Labour Code adjustment but also reflecting underlying margin pressure. The KMP change at the Company Secretary level is routine but adds minor near-term governance noise; no material business disruption indicated.
