Rupa & Company announced two key items from its February 12, 2026 board meeting. First, Mr. Sumit Jaiswal resigned as Company Secretary & Compliance Officer (Key Managerial Personnel) effective close of business on February 28, 2026, to pursue a new opportunity outside the organisation. The board has authorised the Managing Director, three Whole-time Directors, and the CFO to handle materiality determinations and stock exchange disclosures from March 1, 2026. Second, the board approved unaudited financial results for Q3 FY26 (quarter ended December 31, 2025). Standalone revenue from operations stood at ₹31,359.67 lakhs, nearly flat compared to ₹31,421.07 lakhs in Q3 FY25. However, net profit dropped sharply to ₹1,610.39 lakhs from ₹2,364.53 lakhs (down ~32%). For the nine months ended December 31, 2025, net profit fell to ₹3,587.32 lakhs from ₹5,220.07 lakhs (down ~31%). The company recognised an exceptional expense of ₹110.10 lakhs due to new labour codes, and also redeemed ₹50 crore of commercial paper during the quarter.
The resignation of the Company Secretary is a routine KMP change and is not expected to materially affect operations. However, the sharp ~32% YoY decline in Q3 net profit despite steady revenues is a concern for shareholders and may draw negative attention to the stock in the short term.
