Rupa & Company reported its audited FY25 results: standalone revenue from operations rose to Rs 1,22,718 lakhs (from Rs 1,19,417 lakhs in FY24), while net profit grew nearly 20% to Rs 8,268 lakhs (vs Rs 6,912 lakhs), with EPS at Rs 10.40. The Board recommended a 300% dividend (Rs 3 per share of face value Rs 1), subject to shareholder approval. The Board re-appointed S S Kothari Mehta & Co. LLP as Internal Auditor for FY26 and MKB & Associates as Secretarial Auditor for a five-year term (FY26–FY30). The statutory auditor Singhi & Co. issued an unmodified opinion. The company also appointed Mr. Keshav Agarwal (son of Whole-time Director Mukesh Agarwal) as VP-Operations (Senior Management Personnel) effective June 1, 2025, and approved divesting its dormant wholly owned subsidiary Rupa Fashions Pvt Ltd to promoter group members for Rs 2.5 lakhs.
Positive for shareholders — strong ~20% net profit growth, attractive 300% dividend, and a clean (unmodified) audit opinion signal financial health. The divestment of a non-operating subsidiary to the promoter group is a minor related-party transaction at arm's length and has negligible financial impact. The SMP-level appointment of a promoter family member is worth noting but is below the board level.
