The Board of Directors of Salem Erode Investments Ltd approved the issue of 13,000 unlisted secured redeemable non-convertible debentures (NCDs) of face value Rs. 1,000 each, aggregating to Rs. 1.30 crore, on a private placement basis in one or more tranches. The NCDs will be issued at par and offered in two tenures — 36 months and 68 months — with a monthly interest scheme carrying a coupon rate of 12.00% per annum, payable monthly. The 36-month cumulative and 68-month doubling schemes are payable on maturity. The issue is fully secured against current assets, loans and advances (including gold loan receivables) with a minimum 100% security cover, and Vistra ITCL (India) Ltd will act as the Debenture Trustee. A put option is available for investors in the 36-month scheme.
The 12% coupon makes this a relatively high-yield debt instrument, but the issue is small (Rs. 1.30 crore), unlisted, and meant for private placement — so it is unlikely to materially affect the stock price or existing shareholders. It does, however, signal the company's active fundraising activity and reliance on debt.
