Sammaan Capital's board, at its meeting on December 31, 2025, approved a Scheme of Arrangement to demerge the NBFC business of its wholly-owned subsidiary, Sammaan Finserve Limited (SFL), into SCL. The demerged undertaking had a turnover of Rs. 1,270.96 crores in FY25, representing 14.7% of SCL's consolidated turnover. Since SCL already owns 100% of SFL, no cash or share consideration will be paid, and there will be no change in SCL's shareholding pattern. Post the scheme, SFL will surrender its NBFC license, simplifying the group structure. The move is a key step toward completing IHC's $1 billion (₹8,850 crore) investment for a 41.2% controlling stake, as regulators require that no other group entity holds an NBFC license. SFL had rapidly scaled from 32 branches in September 2024 to 107 branches with 1,016 employees by December 2025.
