Avenir Investment RSC Ltd, based in Abu Dhabi, UAE, has completed a substantial acquisition of Sammaan Capital Limited. The acquirer was allotted 33 crore equity shares (INR 139 per share, totalling INR 4,587 crore) and warrants (8.69 crore Tranche I + 21.98 crore Tranche II) on March 31, 2026, under a preferential private placement. A mandatory open offer (completed May 14, 2026) for 41,110 shares was also completed. On May 26, 2026, the subscription shares and warrants were transferred from escrow to the acquirer's demat account. Avenir Investment has now become a 'promoter' of Sammaan Capital. Post-acquisition, the acquirer holds 33 crore voting shares (28.5% equity capital) and 30.67 crore warrants (20.9% equity capital), totalling 43.4% of equity capital (41.3% fully diluted).
