Sampre Nutritions Limited has converted 13 Foreign Currency Convertible Bonds (FCCBs) into equity shares, following a conversion notice from an FCCB holder. The board approved the allotment of 76,21,493 equity shares of face value INR 5 each at a conversion price of INR 14.96 per share, against a principal value of USD 1.3 million. As a result, the company's paid-up share capital has risen to approximately INR 47.50 crores, comprising 9,50,08,913 equity shares in total. The original 100 FCCBs were issued on 28 June 2024 under an Offering Memorandum. The conversion and allotment were approved at the board meeting held on 22 December 2025.
This results in dilution for existing shareholders, with around 8.7% of new shares added to the equity base. However, it also converts foreign currency debt into equity, which may improve the capital structure but does not bring in fresh cash beyond what was originally raised via the FCCB issue in 2024.
