Sampre Nutritions held an Extraordinary General Meeting on 10 December 2025 via video conferencing, where shareholders approved two special resolutions. The first resolution approved a loan agreement between the company and its promoters/promoter group. The second resolution approved issuing equity shares to promoters by converting an existing unsecured loan into equity through a preferential allotment. Both resolutions passed with near-unanimous support, with around 99.99% of valid votes cast in favour. Out of 9,316 shareholders on record, only 7 promoter group members and 27 public shareholders attended via video conferencing. Public participation in voting was very thin, with just 2,32,268 public shares out of 7.4 crore public shares (0.31%) being voted. The scrutiny was conducted by Akshita Surana & Associates, Company Secretaries. Note that about 88.3 lakh promoter-held votes were declared invalid, likely because promoters are interested parties in this related-party transaction.
The approval allows promoters to convert their unsecured loan into company equity, which will strengthen the company's balance sheet by reducing debt but will also lead to promoter shareholding going up and some dilution for existing public shareholders. The very low public voting turnout (0.31%) means non-promoter shareholders had minimal say in this related-party transaction.
