Samvardhana Motherson International, through its indirect wholly-owned Dutch subsidiary Motherson Global Investments B.V. (MGI BV), has completed the settlement of a tender offer to acquire shares of Japan's Yutaka Giken Co., Ltd. (YGCL), which is listed on the Tokyo Stock Exchange. On March 17, 2026, MGI BV acquired 1,408,867 common shares at JPY 3,024 per share, representing 9.51% of YGCL's issued share capital, as part of its plan to ultimately acquire an 81% stake in YGCL along with an 11% stake in its subsidiary Shinnichi Kogyo Co., Ltd. MGI BV has filed a large shareholding report with Japan's Kanto Local Finance Bureau. The overall transaction was originally announced on August 29, 2025, and has progressed through regulatory approvals in China, Brazil, Mexico, Japan, and the US, with the tender offer launched on February 9, 2026.
This is a progress update on a previously announced international acquisition. Shareholders should note that the tender offer settlement is a step toward Motherson gaining a controlling 81% stake in a listed Japanese auto-components company, which could expand its global footprint, but the financial impact will depend on the full closing and consolidation of YGCL into Motherson's financials.
