Two family trusts — Cream & Cookies Family Trust (settlor: Jayant Davar) and Hazelnut Family Trust (settlor: Monica Davar) — each acquired 26,22,930 equity shares of Sandhar Technologies, equal to 4.36% of the company's paid-up capital, through inter-se transfer by way of gift on August 29, 2025. SEBI had earlier granted an exemption under Regulation 11(5) of the SAST Regulations (order dated April 30, 2025) allowing this internal restructuring, since both acquirers and transferors belong to the same promoter group. The trusts also indirectly received shares in promoter-group entities such as Sandhar Estates, YSG Estates, Sanjeevni Impex and Jubin Finance. Total equity capital of Sandhar Technologies stands at ₹60.19 crore, divided into 6.01 crore shares of ₹10 each. The transaction is essentially an estate-planning move to consolidate promoter holdings within family trusts rather than a change in overall promoter ownership.
No change in total promoter-group stake — this is an internal reshuffle from individual names into family trusts, so minority shareholders and the stock price are unlikely to be materially affected.
