Sanmit Infra Limited held its 25th AGM on September 25, 2025 via video conference, and all 9 resolutions were passed by shareholders with overwhelming majority (over 99.99% votes in favour on every item). Key items approved include adoption of FY25 audited financial statements, re-appointment of Mr. Dinesh Makhija as a director liable to retire by rotation, appointment of Mr. Ashok Korat as an Independent Director for 5 years, and re-appointment of Mr. Sanjay Makhija as Managing Director and Mr. Kamal Makhija and Mr. Haresh Makhija as Whole-Time Directors for 3-year terms. Shareholders also approved the appointment of M/s Ramesh Chandra Mishra & Associates as Secretarial Auditor for 5 years, M/s L.B. Sandoo & Co. as Cost Auditors for FY26, and material related party transactions with Haresh Agencies worth up to Rs. 50 crore for FY25-26. Notably, only about 35.96% of total shares were polled, with public non-institutional participation being very low at just 0.24% of their holdings. Promoters (holding 56,715,190 shares representing about 49.6% of their stake) did not vote on the related party transaction resolution, and those votes were treated as invalid for that resolution, though the resolution still passed comfortably.
