Sanofi Consumer Healthcare India informed stock exchanges that its promoter, Sanofi Paris, has completed the sale of a 50% controlling stake in its global consumer healthcare business Opella to private equity firm CD&R on April 30, 2025. Post-transaction, CD&R holds 50%, Sanofi retains a 48.2% stake, and Bpifrance holds the remaining 1.8%. Sanofi Paris received approximately €10 billion in net cash proceeds and is now positioned as a pure-play biopharma company. Opella, headquartered in France, employs over 11,000 people, operates in 100 countries, and owns brands like Allegra, Doliprane, and Dulcolax, making it the third-largest player globally in the OTC and vitamins/supplements market. The Indian listed entity is the India arm of this consumer healthcare business now controlled by CD&R.
For shareholders of Sanofi Consumer Healthcare India, this is largely an informational update about the parent's strategic restructuring. The change in controlling ownership of Opella at the global level does not directly affect day-to-day operations of the Indian listed entity, but it does mean the ultimate controlling shareholder has shifted from Sanofi Paris to PE firm CD&R, which may lead to strategic shifts over time.
