Saraswati Commercial India Ltd, an NBFC, has completed the acquisition of 4,44,049 equity shares of Veranda Learning Solutions Limited at Rs. 225.20 per share, totalling about Rs. 10 crore. The shares were subscribed under the Qualified Institutional Buyers (QIB) category in Veranda's Qualified Institutional Placement (QIP) of Rs. 380 crore and were credited to Saraswati's demat account on 24 July 2025. The acquisition gives Saraswati a 0.47% stake in Veranda's post-issue capital and is being treated as a financial investment. Veranda Learning is an EdTech company with consolidated turnover of Rs. 470.87 crore in FY25, up from Rs. 361.73 crore in FY24, and a net worth of Rs. 256.96 crore. The transaction is not a related party deal and was done entirely in cash.
This is a small financial investment of around Rs. 10 crore by Saraswati in a listed EdTech company, giving it a minor 0.47% stake. For Saraswati shareholders, this signals deployment of funds into the education sector but is unlikely to materially affect the stock price, given the tiny stake size relative to its portfolio.
