Mriddula Somani, Adarsh Somani and Rajendra Somani HUF (all promoter/promoter group, persons acting in concert) have filed a revised disclosure under SEBI SAST Regulation 29(2) with BSE. The transaction was carried out via off-market sale/transfer of shares amongst the promoter group. Before the transaction, the promoter group's combined holding stood at 37,000 shares (~2.21% based on equity capital of Rs 24.90 lakh). Mridula Somani's holding of 35,000 shares (1.41%) and Adarsh Somani's 1,000 shares (0.40%) were the main ones moved out, while Rajendra Somani HUF continues to hold 1,000 shares (0.40%) post-transaction. Total promoter group stake reported after the transaction is 1,000 shares (0.40%). No encumbrance (pledge) activity is involved.
This is an internal reshuffle of shares within the promoter family of a small-cap company and is largely procedural. Since the shares have moved within the promoter group and no new external entity is acquiring them, there is no real change in total promoter control. Retail investors should not view this as a confidence signal – it is simply a reorganisation of promoter holdings, not a genuine buy or sell by the promoter group.
