Sattva Sukun Lifecare Ltd has acquired 51% of the paid-up share capital of Pavapuri Export Private Limited (PEPL) by purchasing 10,410 equity shares of face value Rs. 10 each, for a total consideration of approximately Rs. 10 crore. PEPL is in the diamond export and trading business and is based in Surat. Its turnover rose sharply to Rs. 40.97 crore in FY24 from Rs. 11.82 crore in FY23 and Rs. 12.63 crore in FY22. The deal was approved by the Board on July 16, 2025 and by shareholders at an EGM on July 19, 2025. The acquisition is not a related party transaction, with cash consideration being paid for the stake. The stated objective is to diversify the company's portfolio and enter new markets by acquiring businesses aligned with its growth strategy.
This move takes the company outside its core 'lifecare' name into diamond trading — a significant diversification. PEPL's strong FY24 revenue jump is a positive signal, though shareholders should note the change in business mix and execution risk of integrating a new subsidiary. No open offer is triggered since PEPL is unlisted.
