Sayaji Industries reported standalone revenue of Rs 24,887.79 lakhs for Q1 FY26, down about 3.5% from Rs 25,801.42 lakhs in Q1 FY25. Despite lower revenue, the standalone loss after tax narrowed to Rs 368.25 lakhs from Rs 513.32 lakhs a year ago. On a consolidated basis, revenue dipped marginally to Rs 27,195.19 lakhs while the consolidated loss after tax widened to Rs 349.22 lakhs from Rs 287.10 lakhs. The board approved a bonus issue of 3 equity shares for every 1 held (1:3), capitalising up to Rs 9.48 crore from retained earnings. The board also approved increasing authorised share capital from Rs 5 crore to Rs 15 crore and fixed the 84th AGM for 25 September 2025. Auditor Shah & Shah Associates issued an unmodified (clean) limited review opinion on both standalone and consolidated results.
The bonus issue is positive for retail shareholders as it increases share count without cash outflow, though EPS will proportionally dilute. The continued quarterly losses and declining standalone revenue are concerning, though the narrowing standalone loss offers some comfort. Watch for the record date announcement and post-bonus EPS impact.
