Sayaji Industries' board, meeting on 14th August 2025, approved issuing bonus equity shares in a 1:3 ratio — shareholders will receive 3 bonus shares for every 1 share they currently own. The bonus will be about 1.89 crore new shares with a face value of ₹5 each, totaling roughly ₹9.48 crore, funded from securities premium (₹92 lakh) and retained earnings (₹8.56 crore). The company's paid-up share count will expand from 63.2 lakh shares to 2.53 crore shares after the bonus. The board also proposed increasing authorised capital from ₹5 crore to ₹15 crore. Shareholder approval will be sought at the 84th AGM on 25th September 2025, and the record date will be notified separately. Bonus shares are expected to be credited by 14th October 2025.
Bonus issues reward shareholders without any cash outflow from the company and signal management confidence. The share price will adjust downward on the ex-bonus date in proportion to the ratio, so total portfolio value remains unchanged immediately, but investors end up with more shares (better liquidity) and may benefit if the stock recovers post adjustment.
