Viva Tex-Chem Private Limited, part of the promoter/promoter group of Sayaji Industries Ltd, has disclosed an inter-se transfer of 13,15,600 equity shares (20.82% of total share capital) under SEBI SAST Regulation 29(1). The shares were transferred without any consideration from the wholly-owned subsidiaries Priyam Commercial Enterprises (8,56,400 shares) and Bini Commercial Enterprises (4,59,200 shares) to Viva Tex-Chem pursuant to a scheme of merger approved by the Regional Director, North Western Region, Ahmedabad, on September 23, 2025. The promoter group's aggregate holding remains unchanged at 47,36,640 shares (74.95%) both before and after this transfer. Total share capital stands at 63,20,000 equity shares of Rs. 5 each.
