SBI Life Insurance has sent out a Postal Ballot Notice seeking shareholder approval for four material related party transactions planned for FY 2026-27. The transactions are with State Bank of India (total limit of Rs 40,900 crore covering investments, premium income, commission expenses, and derivatives), SBI DFHI Limited (Rs 30,000 crore for investment purchase/sale), SBI Capital Markets Limited (Rs 30,000 crore for investment purchase/sale), and Yes Bank Limited (Rs 30,000 crore for investment purchase/sale). All transactions are proposed at arm's length and in the ordinary course of business, and have already been cleared by the Audit Committee on February 25, 2026. The company's materiality threshold is Rs 4,124.62 crore, based on FY25 consolidated turnover of Rs 84,985 crore. Voting is only through remote e-voting, open from March 1, 2026 to March 30, 2026, with results to be declared by April 2, 2026. Related parties themselves cannot vote on these resolutions.
