SBI Life Insurance has announced the results of a Postal Ballot conducted between March 1 and March 30, 2026. Shareholders approved all four ordinary resolutions related to material related party transactions with State Bank of India, SBI DFHI Limited, SBI Capital Markets Limited, and Yes Bank Limited. All resolutions were passed with strong majority — approximately 97.8% of votes cast were in favour and only about 2.2% were against. The promoter group (holding 555 million shares, or roughly 55% of total equity) did not participate in voting as they are interested parties in these transactions. The e-voting process was conducted through KFin Technologies and scrutinised by Mehta & Mehta, Company Secretaries.
This is a routine regulatory disclosure. The approvals allow SBI Life to continue and formalise its business transactions with key related parties, including its parent State Bank of India, which is important for normal operations like bancassurance distribution. No material change to business or shareholder value is expected from these approvals.
