Sellwin Traders Ltd conducted a Postal Ballot (last date 01-09-2025) and shareholders approved both resolutions with overwhelming majority. Resolution 1 (Ordinary) was to increase the Authorised Share Capital and amend the Memorandum of Association, with 23,352,882 votes polled (10.16% of outstanding shares of 22.99 crore), of which 99.9985% voted in favour and only 359 voted against. Resolution 2 (Special) was for issuance of Convertible Warrants on a Preferential Basis, with 23,352,382 votes polled, of which 99.9915% voted in favour and 1,980 voted against. The promoter group was not interested in either resolution. The scrutinizer (Ankur Gandhi & Associates) certified the results on 02-09-2025.
Both resolutions passed easily, giving the company board approval to raise its authorised share capital and issue convertible warrants on a preferential basis. For retail shareholders, this signals potential dilution if the warrants are eventually converted into equity shares, though the low voting turnout (~10%) means a small group of shareholders effectively approved these capital-structure changes.
