Piramal Enterprises held its 78th AGM on 30th June 2025 via video conferencing, chaired by Mr. Ajay G. Piramal, with 13 resolutions tabled and all passed by shareholders. Key outcomes include approval of FY25 audited financial statements, a final dividend of Rs. 11 per equity share (face value Rs. 2), re-appointment of directors Ms. Nandini Piramal and Ms. Shikha Sharma, and continuation of Mr. Ajay G. Piramal as Chairman beyond age 70 as a special resolution (92.99% in favour). Shareholders also approved appointing N.M. Raiji & Co. and Chhajed & Doshi as joint statutory auditors, re-appointing three independent directors (Nathani, Bahl, Bansal), issuing non-convertible debentures on private placement (99.46% in favour), and enabling loan-to-equity conversion in event of default (98.77% in favour). Around 71% of the 22.66 crore outstanding shares were voted, with most resolutions receiving near-unanimous support of over 97%.
For shareholders, the Rs. 11 final dividend confirms a steady payout, and the strong vote in favour of NCD issuance gives the company flexibility to raise debt privately. The 92.99% approval for Mr. Ajay Piramal's continuation (with notable ~7% dissent, largely from public institutions) and lower 90% support for Mr. Suhail Nathani's re-appointment show some institutional pushback but the resolutions stand. Overall, the AGM outcome reinforces stable governance with no material disruption expected for the stock.
