Murae Organisor Ltd (formerly Earum Pharmaceuticals) conducted a postal ballot via remote e-voting from June 24 to July 23, 2025, and shareholders approved two ordinary resolutions with overwhelming majority. Resolution 1 approved a bonus share issue in the ratio of 1:10 (1 new equity share for every 10 held), capitalising up to ₹18,58,96,431 from securities premium and/or general reserve. Resolution 2 approved increasing the authorised share capital from ₹190 crore to ₹205 crore by creating an additional 15 crore equity shares of ₹1 each, along with amending the Memorandum of Association. Out of 1,18,240 total members, 335 cast their votes through e-voting. The bonus issue resolution received 99.39% votes in favour (1,64,38,227 shares for vs 1,00,360 against), while the capital increase resolution received 99.58% in favour (1,61,32,596 for vs 68,067 against). Notably, the promoter group did not participate in the voting, with all votes coming from public non-institutional shareholders. The scrutinizer certified both resolutions as duly passed.
Eligible shareholders will receive 1 bonus share for every 10 shares held, increasing share count by 10% (capitalisation of reserves, no change in underlying value). The higher authorised capital ceiling gives the company room for future fundraising, dilution, or further bonus issues.
