Seamec's promoter group entity HAL Offshore Limited (which holds 70.36% or 1,78,89,694 equity shares in Seamec) has approved a Scheme of Arrangement along with MMG Marine Engineering Pvt Ltd and Rinkpi Finance & Consultants Pvt Ltd. Under the scheme, HAL Offshore's 'Vessel & Marine Business' will demerge into MMG Marine Engineering, and its 'Securities Investment Business' will demerge into Rinkpi Finance & Consultants. Since HAL Offshore's entire 70.36% stake in Seamec is part of the Securities Investment Business, this shareholding will transfer from HAL Offshore to Rinkpi Finance & Consultants. Post-scheme, Rinkpi will hold the shares as a promoter group entity, with mirror shareholding maintained, and there will be no change in management or control of Seamec. No shares will be issued by Seamec, and the scheme is subject to NCLT and other regulatory approvals.
This is an internal promoter-group restructuring — the effective promoter ownership of Seamec stays at 70.36%, just moving from one promoter entity (HAL Offshore) to another (Rinkpi Finance). Retail shareholders should see no material change in control, holdings, or day-to-day operations of Seamec, though NCLT approval is still pending.
