SecMark Consultancy has signed three agreements dated December 30, 2025 to enter the trading technology space. It is buying a 'trading web and mobile platform' along with trading middleware software from Codifi Finserv and Codifi Soft Tech for Rs. 8 crore plus GST. It has also signed a 3-year consultancy deal with two individuals (Mr. Pradeep Kuppusamy and Mr. Raghu Ram Rajamani) for Rs. 20 crore total to further develop, maintain, and enhance this software, with the consultants barred from competing for 5 years. Additionally, the company has acquired the trademark and 50% of the related goodwill from Codifi Finserv for Rs. 1 lakh plus GST. The combined financial commitment is roughly Rs. 28 crore over three years, and all three transactions are confirmed as arm's length and not related-party deals.
This is a significant strategic expansion for SecMark into the fintech/trading platform business, representing a large capital commitment relative to its size and a meaningful shift in business focus. Shareholders should watch for revenue traction from the acquired platform, as the Rs. 20 crore consultancy outflow over 3 years will weigh on near-term margins until the new software business starts contributing.
