Semac Construction Limited has filed the notice for its 48th Annual General Meeting scheduled for September 12, 2025 at 11:30 AM at the registered office in Coimbatore. The agenda includes adoption of FY25 standalone and consolidated financial results, appointment of M/s. Suresh Surana & Associates LLP as new statutory auditors for 5 years (replacing the retiring S.S. Kothari Mehta & Co.), and approval of material related party transactions with Revathi Equipment India Limited (REIL) and Renaissance Consultancy Services Limited (RCSL), both promoter-group entities, up to Rs. 250 crore each. The notice also seeks shareholder approval to appoint MDS & Associates LLP as secretarial auditors for 5 years and to re-appoint Mr. Abhishek Dalmia as Chairman and Managing Director for another 5 years from April 1, 2026, with a proposed remuneration ceiling of Rs. 4 crore per annum (overall cap of Rs. 10 crore including his role at REIL). Standalone FY25 numbers show revenue grew about 43% to Rs. 158.55 crore, while the net loss narrowed sharply from Rs. 33.16 crore to Rs. 6.12 crore. The company says the improvement comes from execution of older sub-contracted projects being completed and a shift to a direct contracting model.
This is a routine AGM notice, but shareholders should focus on the large related party transactions with promoter-group firms (Rs. 250 crore each, equivalent to about 341% of consolidated turnover) and the re-appointment of the CMD with a higher pay cap. Related parties cannot vote on the RPT resolutions, so minority shareholders effectively decide on these approvals.
