Sera Investments & Finance India filed a revised board meeting outcome for its 11 August 2025 meeting. The board approved unaudited standalone and consolidated financial results for Q1 FY26 (quarter ended 30 June 2025). Standalone revenue from operations fell sharply to Rs 258.67 lakh from Rs 597.94 lakh in the same quarter last year, a drop of about 57%. Profit after tax collapsed to Rs 11.04 lakh from Rs 361.41 lakh (down around 97% YoY), though other comprehensive income showed a large gain of Rs 13,489.81 lakh, likely from fair value changes in investments. EPS stood at Rs 0.02 versus Rs 0.56 previously. Auditor SDPM & Co. issued an unmodified (clean) limited review report on both sets of results. Consolidated results include subsidiary Sera Code Private Limited. Additionally, Independent Director Nishith Trivedi resigned with effect from 11 August 2025, and two individuals (Mahendrabhai Gulabdas Patel and Munjal Mahendrabhai Patel) were reclassified from Promoter to Public category, both holding nil shares.
The steep year-on-year decline in both revenue and core profit is a red flag for operating performance, but a sizeable gain in other comprehensive income keeps total comprehensive income positive. For shareholders, the weak operational results are concerning while the board-level changes (one director exit and reclassification of nil-holding promoters) are largely procedural.
