Sera Investments & Finance India Ltd (formerly Kapashi Commercial Ltd) announced that its statutory auditor, Ashit N. Shah & Co., Chartered Accountants, has resigned with effect from 11th July 2025. According to the auditor's letter, their 5-year tenure (FY2020-21 to FY2024-25) ended on 31st March 2025 and they chose not to continue. The Board has appointed M/s S D P M & Co., Chartered Accountants (Ahmedabad, FRN 126741W) as the new statutory auditor under Section 139(8) of the Companies Act, 2013 with effect from 11th July 2025. The new auditor has over 19 years of experience and is not related to any director or KMP, nor does it hold shares in the company. This is essentially a routine auditor change following completion of the previous auditor's term.
This is largely a routine change of statutory auditor triggered by completion of the previous auditor's 5-year term. Investors should note that no governance red flags are apparent — the new auditor is independent and the change was formally approved by the Board.
