Setco Automotive's material subsidiary, Setco Auto Systems Private Limited (SASPL), has received approval and consent from its Debenture Trustee (Vistra ITCL) and Debenture Holders to waive the accrued Investor IRR at 18% per annum, amounting to ₹75.50 crore, for FY 2025–26. This waiver applies to the listed Non-Convertible Debentures issued by SASPL under Debenture Trust Deeds dated August 31, 2021 and July 19, 2024. The principal amount and other key terms of the debentures remain unchanged, but the IRR obligation is being foregone by the debenture holders.
This is a significant debt-relief event for SASPL and ultimately Setco Automotive, as it eliminates ₹75.50 crore in interest/return obligations, freeing up cash flow. However, the willingness of debenture holders to forgo such a large amount may raise investor concerns about the underlying financial health of SASPL and why such a concession was needed. Shareholders should monitor further developments on the subsidiary's financial performance.
