Shah Metacorp Limited's Board Committee approved the allotment of 92,00,000 equity shares (face value Re. 1) on a preferential basis to three non-promoter allottees at ₹4.71 per share, raising a total of about ₹4.33 crore. The shares were allotted to Karni Enterprise (42 lakh shares for ₹1.98 crore), Samir Patel (25 lakh shares for ₹1.18 crore), and Brijesh Patel (25 lakh shares for ₹1.18 crore). This allotment is part of a larger preferential issue of up to 6.65 crore shares approved by shareholders at an EGM on March 5, 2025, with in-principle approvals already received from BSE and NSE. After the allotment, Karni Enterprise's stake in the company rises from 1.26% to 1.88%, while Samir Patel and Brijesh Patel become new shareholders with about 0.38% stake each.
Existing shareholders will see a small dilution as 92 lakh new shares are issued. The company raises roughly ₹4.33 crore in fresh capital from non-promoter investors, which is a modest portion of the larger ₹31+ crore preferential issue already approved.
