Sharpline Broadcast Limited (BSE: 543341) held an Extraordinary General Meeting on 12 December 2025 via video conferencing, where all three special business resolutions were passed. The approved items were: (1) increase in authorized share capital (ordinary resolution), (2) allowing existing inter-corporate loans and investments to be converted into equity shares (special resolution), and (3) voluntary delisting of equity shares from the Metropolitan Stock Exchange of India (MSEI) (special resolution). All three resolutions passed with 96.59% of votes in favour (5,728 votes) and 3.41% against (202 votes). Out of 11,335 total shareholders, only 46 public shareholders attended the meeting through VC, and just 75 shareholders cast votes (62 in favour, 13 against).
The MSEI delisting is largely cosmetic since trading volume is on BSE. The inter-corporate loan-to-equity conversion may dilute existing public shareholders, and the authorized capital hike gives the company flexibility to raise funds later. Notably, promoter shareholders (holding roughly 30% of equity) did not participate in voting, and overall turnout was very thin at 0.035% of outstanding shares, which weakens the decisiveness of the mandate.
