Shree Salasar Investments' board, at its meeting on February 11, 2026, approved the unaudited financial results for the quarter ended December 31, 2025. On a standalone basis, the company slipped into a loss of Rs. 19.98 lakhs in Q3 FY26 compared to a small profit of Rs. 0.12 lakhs in the previous quarter, while revenue from operations turned negative at Rs. 18.48 lakhs. On a consolidated basis, however, the company reported a strong net profit of Rs. 538.02 lakhs on revenue of Rs. 3,101.39 lakhs, supported by subsidiary operations in real estate. The board also approved the issuance of up to 18,50,000 warrants convertible into equity shares via a preferential allotment at a price not lower than the SEBI ICDR minimum. Each warrant is convertible into one equity share within 18 months of allotment.
The preferential issue will dilute existing shareholders by roughly 21% (18.5 lakh new shares against the current paid-up capital of 69.72 lakh shares). Promoters Ajay Sarupria and Shailesh Hingarh are taking up 18 lakh of the 18.5 lakh warrants, raising their combined holding from about 67% to over 73%, which signals promoter confidence but also concentrates control further. The weak standalone numbers versus the healthy consolidated performance suggests the listed entity's own operations are struggling while value sits in subsidiaries.
