Shree Securities Limited held its 32nd AGM on 2 June 2026 (12:00 PM to 12:27 PM) via video conferencing. Out of 92,982 total shareholders, only 79 public shareholders attended and around 76.85 lakh votes (0.96% of total shares) were polled. Notably, promoters did not participate in voting at all. Of the 8 resolutions, 5 passed and 3 failed. The adoption of FY25 audited financials (99.997% in favor), appointment of M/s Kirti Sharma & Associates as Secretarial Auditor for 5 years (99.97% in favor), and regularization of three independent directors — Smit Rachhadiya (75.60%), Kishankumar Tilva (75.50%), and Dimpi Changela (75.03%) — were approved. However, three special resolutions were rejected by shareholders: advancing loans/guarantees under Section 185, increasing Section 186 loan/investment threshold to Rs. 100 crore, and raising the FPI/FII shareholding limit to 49% of paid-up capital — each got only about 45% support against 55% dissent.
The failed resolutions mean the company cannot expand its lending/investment powers or raise the FPI ownership cap, limiting its financial flexibility. The director appointments passed with narrow margins (~75%), indicating some shareholder dissatisfaction with governance decisions, which may affect investor confidence.
