Shriram Properties held its 4th Annual General Meeting post IPO on September 26, 2025, via video conferencing. All 10 resolutions were passed with overwhelming majority. Six ordinary resolutions were approved with 88% to 99.99% votes in favour, including adoption of FY25 audited financial statements (99.99% in favour), re-appointment of Mr. Ashish Pradeep Deora as director (99.98%), ratification of cost auditor remuneration (99.99%), approval of non-executive director remuneration (99.98%), appointment of SPNP & Associates as secretarial auditors (99.99%), and appointment of Mr. Akshay Murali to an office/place of profit (88.28%, with promoter group abstaining as they were interested). Four special resolutions relating to the new 'Shriram Properties Employee Stock Option Scheme 2025' (ESOS 2025) were also approved with around 98.99% votes in favour, covering grant of stock options to subsidiary employees, creation of money provision for the trust, and secondary acquisition of shares through trust route. Out of 90,032 eligible shareholders, 77 attended the AGM via VC.
The ESOS 2025 approval is the key shareholder-relevant item, as it allows the company to issue stock options to employees (potentially leading to dilution over time) and enables share buyback through a trust route. Routine items like financial statement adoption and director re-appointment have no material impact. Overall, the clean approval of all resolutions reflects smooth governance with no contentious issues raised by shareholders.
