AFCO Capital India Private Limited, the Manager to the Open Offer, has submitted a Withdrawal Advertisement to BSE on December 8, 2025, formally withdrawing the open offer to acquire up to 1,30,94,380 fully paid-up equity shares (representing 26% of the fully diluted voting equity share capital) of Shyamkamal Investments Ltd. The offer was originally made by Morabia Enterprise Private Limited and Mr. Mahendra Harajivan Morabia along with several persons acting in concert, following a Public Announcement dated February 25, 2025, and a Detailed Public Statement dated March 5, 2025. The withdrawal advertisement was published in Financial Express (English, all-India), Jansatta (Hindi, all-India), and Pratahkal (Marathi, Mumbai edition), in compliance with Regulation 23(2) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011.
The proposed acquisition by the Morabia group has been called off, meaning shareholders will no longer have the opportunity to tender their shares under this offer. The stock may see short-term pressure as the takeover premium expectation is removed, and the company's ownership structure remains unchanged.
